Terms and Condition

These Terms and Conditions (“Terms”) govern the access and use of:

• Kultur Voice Business (“KVB”)
• KVB Global Agency
• Fast Release
• gighub.id
• Associated websites, applications, services, content, technology, and communications platforms operated by Kultur Voice Business (KVB) Content Company

By accessing, browsing, registering, purchasing, publishing content, or using any KVB service, you agree to be bound by these Terms.

If you do not agree with these Terms, you must discontinue use of the services.

Definitions

KVB means Kultur Voice Business and its affiliated entities.

Agency Services means communications, public relations, digital marketing, AI visibility services, media production, corporate reporting, content creation, event support, investor relations, consulting, and related services provided through KVB Global Agency.

Fast Release means KVB’s technology-powered press release distribution service.

Platform means Gighub.id and all related systems.

Client means any individual, business, organization, association, government body, or institution using KVB services.

Freelancer means a professional, creator, consultant, contractor, or service provider registered on Gighub.id.

Content means text, images, videos, audio, press releases, reports, data, graphics, comments, files, and all other materials uploaded, distributed, or published through KVB services.

Eligibility

Users must

• Be at least 18 years of age;
• Have legal capacity to enter into binding agreements;
• Provide accurate and complete information;
• Comply with all applicable laws and regulations.

KVB reserves the right to suspend or terminate accounts that provide false information.

Account Registration

Users may be required to create accounts to access certain services.

Users agree to

• Keep passwords secure;
• Maintain accurate account information;
• Notify KVB of unauthorized account use;
• Accept responsibility for activities conducted under their account.

KVB is not responsible for losses resulting from unauthorized access caused by user negligence.

Intellectual Property

All trademarks, logos, designs, software, content, databases, technology, and materials on KVB websites remain the property of KVB or its licensors.

Users may not copy, republish, reverse engineer, sell, distribute and modify without prior written consent.

Clients retain ownership of materials they provide to KVB.

Upon payment, deliverables produced specifically for clients may be licensed or assigned according to the applicable service agreement.

User Content

Users are solely responsible for content they upload, publish, submit, distribute, or commission through KVB services.

Users warrant that their content:

• Is accurate and lawful;
• Does not infringe third-party rights;
• Does not contain defamatory material;
• Does not contain deceptive information;
• Does not violate privacy rights;
• Does not violate intellectual property rights.

KVB reserves the right to reject, edit, suspend, remove, or refuse publication of any content.

Prohibited Activities

Users shall not:

• Publish unlawful content;
• Publish false or misleading information;
• Submit defamatory statements;
• Submit hate speech;
• Promote discrimination;
• Distribute malware;
• Interfere with system operations;
• Conduct fraud;
• Engage in payment abuse;
• Violate applicable laws.

KVB may investigate and report suspected violations to authorities.

KVB Global Agency Services

KVB Global Agency provides communication and marketing services including:

• Public relations;
• Media relations;
• Content production;
• Corporate reports;
• Sustainability reports;
• Investor communications;
• Video production;
• Documentation;
• Search visibility services;
• Strategic communications consulting.

Engagement

Agency services are subject to separate proposals, statements of work, quotations, or contracts.

Client Responsibilities

Clients must:

• Provide accurate information;
• Deliver required approvals on time;
• Ensure legal compliance of supplied materials;
• Cooperate in project execution.

No Guaranteed Outcomes. Agreement on force majeur applies.

Marketing and communications results are inherently variable.

KVB does not guarantee:

• Media coverage;
• Search engine rankings;
• Revenue increases;
• Business results;
• Social media performance;
• Public perception outcomes.

Fast Release 

Fast Release is a press release distribution service designed to streamline publication and media dissemination.

Submission Requirements

Users must ensure submitted press releases:

• Are truthful;
• Are lawful;
• Are factually supportable;
• Do not contain defamation;
• Do not contain misleading claims;
• Do not contain prohibited adult content;
• Do not violate third-party rights.

KVB reserves sole discretion to reject any submission.

Distribution

KVB will make commercially reasonable efforts to distribute approved press releases through appropriate media channels.

However, KVB does not guarantee:

• Publication by any specific media outlet;
• Permanent publication;
• Search engine indexing;
• Audience reach;
• Media pickup quantity.

Turnaround Times

Any estimated distribution or reporting timelines represent service targets rather than guaranteed deadlines.

Delays may occur due to news cycles, editorial reviews, technical issues, regulatory requirements, force majeure events.

Refund Policy

Fees are generally non-refundable once distribution processing has commenced.

Refund requests may be reviewed individually at KVB’s discretion.

Gighub.id 

Gighub.id connects businesses, clients, freelancers, and creators. Gighub.id serves as a marketplace platform.

Unless explicitly stated otherwise:

• KVB is not the employer of freelancers.
• KVB is not a party to freelance service agreements.
• KVB does not supervise work performance.

Contracts for work exist directly between clients and freelancers.

Freelancer Obligations

• Deliver services professionally;
• Meet agreed deadlines;
• Maintain quality standards;
• Comply with applicable laws;
• Hold necessary licenses and certifications.

Clients’ obligations

• Provide clear project requirements;
• Make legitimate payments;
• Review deliverables reasonably;
• Respect intellectual property ownership.

Service Fees

Gighub.id may collect commissions, transaction fees, or service charges as disclosed on the platform.

KVB reserves the right to change fees with reasonable notice.

Disputes

Disputes between clients and freelancers should first be resolved amicably.

KVB may provide mediation assistance but is not obligated to determine fault or guarantee dispute outcomes.

Payments

Payments may be processed through:

1. Credit cards;
2. Debit cards;
3. Bank transfers;
4. Payment gateways;
5. Digital wallets;
6. International payment providers.

Users agree:

• To provide accurate billing information;
• Not to initiate fraudulent chargebacks;
• To pay all applicable taxes and fees.

KVB may suspend services for overdue invoices.

Privacy and Data Protection

KVB collects and processes personal information in accordance with applicable privacy laws and its Privacy Policy. Please read more details on Policy https://kvb.global/policy 

Users consent to:

• Data processing;
• Operational communications;
• Security monitoring;
• Necessary service-related notifications.

KVB implements commercially reasonable security measures but does not guarantee absolute security.

Third-Party Services

KVB may integrate with:

• Payment providers;
• Media platforms;
• Social networks;
• Analytics services;
• Cloud providers;
• AI tools;
• Advertising systems.

KVB is not responsible for third-party platforms or their actions.

Use of third-party services is subject to respective terms.

Limitation of Liability

To the fullest extent permitted by law, KVB shall not be liable for:

• Indirect damages;
• Consequential damages;
• Lost profits;
• Lost business opportunities;
• Reputational harm;
• Data loss;
• Service interruptions.

Maximum liability shall not exceed the amount paid by the user for the specific service giving rise to the claim during the preceding twelve (12) months.

Indemnification

Users agree to indemnify and hold harmless KVB, its officers, directors, employees, contractors, and affiliates from claims arising from:

• User content;
• Breach of these Terms;
• Intellectual property infringement;
• Violation of law;

Force Majeure

KVB shall not be liable for failures or delays resulting from events beyond reasonable control, including:

• Natural disasters;
• Epidemics;
• War;
• Civil unrest;
• Government actions;
• Telecommunications failures;
• Cyberattacks;
• Major news events;
• Power outages.

This limitation specifically applies to Agency, Fast Release, and Gighub.id services.

Suspension and Termination

KVB may suspend or terminate access if users:

• Violate these Terms;
• Engage in fraudulent conduct;
• Harm platform integrity;
• Create legal risks for KVB.

Termination does not affect accrued rights and obligations.

Governing Law

These Terms shall be governed by the laws of the Republic of Indonesia unless otherwise agreed in writing. Any disputes shall first be resolved through good-faith negotiations. If unresolved, disputes shall be submitted to the competent courts of Indonesia.

Changes to Terms

KVB reserves the right to amend these Terms at any time. Updated Terms become effective upon publication on KVB websites. Continued use of services constitutes acceptance of revised Terms.

Intellectual Property Rights

Ownership of KVB Intellectual Property. All rights, title, and interest in and to the KVB websites, platforms, software, databases, trademarks, logos, service marks, branding, technology, workflows, designs, methodologies, content, and proprietary materials shall remain the exclusive property of KVB and its licensors. Nothing in these Terms transfers ownership of KVB intellectual property to any user, client, freelancer, or third party.

Client-Owned Materials. Clients retain ownership of all intellectual property that they provide to KVB, including:

• Logos
• Brand assets
• Photographs
• Videos
• Documents
• Press releases
• Reports
• Marketing materials
• Proprietary information

The client grants KVB a limited, non-exclusive license to use such materials solely for providing the requested services.

Agency Deliverables. Unless otherwise agreed in writing:

• KVB retains ownership of its pre-existing intellectual property, methodologies, templates, frameworks, processes, software tools, and know-how.
• Upon full payment, the client shall own the final deliverables specifically commissioned and created for the client.

Ownership transfers only after full payment of all fees and expenses.

KVB reserves the right to retain copies for portfolio, accreditation, internal training, compliance, and record-keeping purposes unless prohibited by a separate confidentiality agreement.

Press Release Content

For Fast Release services:

• Clients remain solely responsible for the content and accuracy of submitted press releases.
• Clients retain ownership of press release content they create.
• By submitting content, clients grant KVB the right to distribute, reproduce, publish, archive, and syndicate such content through media partners and distribution channels.

Distribution does not transfer ownership of the press release to KVB.

gighub.id Work Product

Unless otherwise agreed between the client and freelancer:

• Intellectual property rights in completed deliverables shall transfer to the client upon full payment.
• Freelancers retain ownership of their pre-existing tools, templates, frameworks, source materials, methodologies, and know-how.
• Freelancers grant clients a perpetual license to use such embedded materials as required for the intended purpose of the project.

Where applicable laws require written assignment documents, both parties agree to execute reasonable documentation to complete the transfer.

User Warranty

Users represent and warrant that they:

• Own the intellectual property they submit; or
• Possess all necessary licenses, permissions, and authorizations.

Users agree to indemnify KVB against any intellectual property infringement claims arising from submitted content.

Anti-Bribery and Anti-Corruption

In using KVB services, all Users, Clients, and Freelancers agree to comply with all applicable anti-bribery and anti-corruption laws. Users shall not offer, promise, give, request, or accept any bribe, kickback, illegal gratification, or improper payment of any kind in connection with KVB services or platforms. KVB reserves the right to immediately suspend or terminate any account, contract, or service if a violation of this policy is suspected or discovered.

Dispute Resolution

Good Faith Negotiation. The parties shall first attempt to resolve any dispute, claim, controversy, or disagreement arising out of or relating to these Terms through good-faith negotiations. A party initiating a dispute shall provide written notice describing the matter in reasonable detail. The parties shall have thirty (30) calendar days from receipt of such notice to attempt resolution.

Mediation. If the dispute cannot be resolved through negotiation, the parties agree to attempt mediation before commencing formal legal proceedings. The mediation shall be conducted in Jakarta, Indonesia, or online if agreed by the parties. Costs shall be shared equally unless the parties agree otherwise.

Arbitration. Any dispute not resolved by negotiation or mediation shall be finally settled through binding arbitration administered by the Badan Arbitrase Nasional Indonesia (BANI) in accordance with its applicable rules. The arbitration shall:

• Be conducted in English or Bahasa Indonesia;
• Be heard by one arbitrator unless otherwise required;
• Take place in Jakarta, Indonesia;
• Produce a final and binding decision.

The arbitral award may be enforced in any court having jurisdiction.

Exceptions. KVB may seek immediate injunctive relief, temporary restraining orders, or other equitable remedies from a court of competent jurisdiction for matters involving:

• Intellectual property infringement;
• Confidential information;
• Unauthorized access to systems;
• Cybersecurity incidents;
• Seeking such relief shall not constitute a waiver of the arbitration requirement.

Limitation Period. Any claim arising from the use of KVB, KVB Global Agency, Fast Release, or Gighub.id must be commenced within one (1) year from the date the claimant knew or reasonably should have known of the event giving rise to the claim.

Class Action Waiver. To the maximum extent permitted by applicable law, disputes shall be resolved only on an individual basis. Users waive any right to participate in:

• Class actions;
• Collective actions;
• Representative actions;
• Group arbitrations.

Confidentiality. Each party agrees to maintain the confidentiality of non-public information received from another party. Confidential information includes business plans, marketing strategies, financial information, trade secrets, media plans, client information, technical information, unreleased content

The receiving party shall:

• Protect confidential information using reasonable care;
• Use it only for authorized purposes;
• Not disclose it to unauthorized third parties.

This obligation shall survive termination of the relationship for five (5) years, or indefinitely for trade secrets.
